AGREEMENT TO OUR LEGAL TERMS

We are Mokslinės leidybos deimantas, MB ("Company," "we," "us," "our"), a company registered in Lithuania, doing business as Scholarcert.

We operate the website https://www.scholarcert.com, the platform at https://app.scholarcert.com, and the public certificate verification service at https://verify.scholarcert.com (together, the "Services").

These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Mokslinės leidybos deimantas, MB, concerning your access to and use of the Services. By creating an account, purchasing credits, uploading content, or otherwise using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

We may update these Terms at any time. The "Last updated" date above will reflect when. We will notify registered users of material changes by email or in-app notice at least 30 days before they take effect. Continued use of the Services after changes take effect means you accept the updated Terms.

1. THE SERVICES

Scholarcert is a software-as-a-service platform that allows academic conference organizers to issue, deliver, and verify digital certificates. The Services include certificate template management, recipient management, automated PDF and PNG certificate generation, email delivery, public verification pages, and related APIs and integrations.

The Services are intended for use by conference organizers, academic institutions, scientific societies, and similar organizations. They are not intended for, and should not be used by, individuals under the age of 18 or for non-academic credentialing purposes such as professional licensing, government-issued credentials, or financial documents.

We provide the Services from servers located in the European Union and reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practical.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

To use the Services, you must:

  • Be at least 18 years old
  • Have legal authority to enter into these Terms on behalf of any organization you represent
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials
  • Notify us immediately at sales@scholarcert.com of any unauthorized access

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or are used in a manner harmful to other users or to the Services.

Each registered user is assigned a role within their organization (organization administrator, editor, or viewer). Account permissions are governed by the role assigned by the organization administrator.

3. PRICING, CREDITS, AND BILLING

Free plan

Each organization receives 50 free certificate generations per rolling 12-month period from the date of account creation. Free-tier credits cannot be purchased, transferred, or refunded.

Paid credits

Beyond the free allowance, certificate generation requires the purchase of credits. Credits are sold in fixed packages priced in EUR, as listed at https://www.scholarcert.com/pricing.

Credits:

  • Are organization-level (one balance covers all conferences in the organization)
  • Never expire
  • Are consumed at the moment a certificate transitions to "generated" status
  • Are not refunded if a certificate is revoked, regenerated, or unused
  • Are non-transferable between organizations

Payment processing

All payments are processed by Stripe Payments Europe, Limited ("Stripe"). By purchasing credits, you also agree to Stripe's terms, available at https://stripe.com/legal. Scholarcert does not store payment card numbers, CVV codes, or other sensitive payment data.

Purchases up to €3,250 (5,000 credits) are completed via Stripe Checkout. Larger purchases require Stripe Invoicing and are processed manually after payment confirmation.

Refunds

Credit purchases are final and non-refundable once credits are added to the organization's balance. Exceptions, such as duplicate charges, may be addressed at our discretion. To request an exception, contact sales@scholarcert.com within 14 days of purchase.

Price changes

We may adjust package prices at any time. Price changes do not affect credits already purchased. We will give existing customers at least 30 days' notice of new prices for future purchases.

Taxes

Prices are exclusive of any applicable taxes (VAT, sales tax, or similar). Where required, taxes will be collected at checkout via Stripe Tax. You are responsible for any taxes or duties imposed by your jurisdiction not collected at checkout.

4. USER CONTENT

What is User Content

"User Content" means any data, text, files, images, templates, recipient lists, custom fields, and other materials you upload, submit, or transmit through the Services. This includes certificate designs, recipient personal information, conference branding, and any text or images appearing on generated certificates.

Your responsibilities

You are solely responsible for the legality, accuracy, and appropriateness of all User Content. You represent and warrant that:

  • You have all necessary rights, licenses, and consents to upload and process the User Content
  • The User Content does not infringe any third-party intellectual property rights, privacy rights, or other rights
  • The User Content is accurate and you have authority to issue certificates to the recipients you list
  • You have a valid legal basis under applicable data protection law (including the GDPR) to share recipient personal data with us

You may not upload User Content that is unlawful, defamatory, infringing, harmful to minors, or that would cause us to violate any law or contract.

License to us

You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, modify, and process your User Content solely as necessary to provide the Services to you.

This license includes the right to:

  • Render certificate templates into PDF and PNG files
  • Send PDF templates to third-party AI services (currently Anthropic) for conversion into editable HTML
  • Store generated certificates and metadata indefinitely to maintain public verification URLs
  • Display recipient names and certificate details on public verification pages

Certificate recipient data

You acknowledge that certificate recipient names and certificate details (recipient name, certificate type, conference name, edition date, issuance date, optional custom fields) appear on public verification pages accessible via unique URL. By uploading recipient data, you confirm that recipients have been informed and consent to this public display, or that another lawful basis applies.

5. ISSUED CERTIFICATES

Permanence

Once a certificate has been generated, its public verification URL is permanent and remains accessible indefinitely, even if you cancel your account, downgrade your plan, or stop paying for the Services. This is a deliberate design decision: certificate recipients rely on long-term verifiability for academic and professional purposes.

Revocation

You may revoke individual certificates from your dashboard. Revoked certificates remain accessible at their verification URL but display a clear "Revoked" status with the reason (if you provide one). Revocation is not deletion.

Deletion

We do not support deletion of issued certificates. If you have a legitimate legal requirement to remove a certificate (for example, a valid recipient request under the GDPR's right to erasure), contact sales@scholarcert.com and we will assess and process such requests in accordance with applicable law.

Expiry

Where you have configured a certificate type to expire, expired certificates remain accessible at their verification URL but display an "Expired" status. Expiry does not refund credits.

6. ACCEPTABLE USE

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law
  • Issue certificates to recipients who did not actually attend or complete the activity certified
  • Issue certificates that misrepresent the nature, level, or accreditation of the activity
  • Use the Services to issue counterfeit, fraudulent, or misleading credentials
  • Upload or process recipient data without a lawful basis under applicable data protection law
  • Attempt to bypass credit limits, rate limits, or other technical restrictions
  • Reverse-engineer, decompile, or attempt to extract source code from the Services
  • Use automated means to access the Services except via our public APIs in accordance with their documentation
  • Upload malicious code, conduct security scans without our written permission, or interfere with the integrity of the Services
  • Use the Services to harass, defame, or harm other users
  • Resell, sublicense, or redistribute the Services without our written permission

We reserve the right to investigate suspected violations and to suspend or terminate accounts in violation. Where we have reasonable grounds to believe a violation has occurred, we may also revoke affected certificates and notify recipients.

7. INTELLECTUAL PROPERTY

Our intellectual property

The Services, including all software, designs, branding, logos, documentation, and the Scholarcert name and marks, are owned by Mokslinės leidybos deimantas, MB or our licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of these Terms.

Permission requests

If you wish to use the Scholarcert name, logo, or any other Scholarcert intellectual property outside the scope of this license, contact sales@scholarcert.com.

Feedback

If you provide us with feedback, suggestions, or ideas about the Services, we may use them without restriction or compensation to you.

8. THIRD-PARTY SERVICES

The Services rely on third-party providers including Stripe (payments), Postmark and Resend (email delivery), Anthropic (AI template conversion), Hetzner (hosting and object storage), Supabase (database and authentication), Google Analytics and Google Tag Manager (analytics), and Webflow (marketing website hosting). These providers operate under their own terms and privacy policies. Use of the Services constitutes consent to your data being processed by these providers as described in our Privacy Policy.

We are not responsible for the acts or omissions of third-party providers, except where required by law.

9. AI FEATURES

The Services include AI-assisted features, such as conversion of uploaded PDF templates into editable HTML. When you use these features, the relevant content is sent to a third-party AI provider (currently Anthropic) for processing. Outputs of AI features may contain errors and should be reviewed before use.

You agree not to upload content containing real recipient personal data when testing AI features, and to use placeholder text instead. We do not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output.

10. SERVICE AVAILABILITY AND CHANGES

We aim for 99.9% uptime but do not guarantee uninterrupted access to the Services. We may perform scheduled maintenance, deploy updates, or make changes to the Services with reasonable notice where practical.

We may modify, suspend, or discontinue any part of the Services at any time. Where we discontinue a feature on which you rely, we will give at least 30 days' notice and reasonable assistance to migrate or export your data.

In the event of long-term service discontinuation, we will provide reasonable means for you to export your data and certificates, and we will maintain certificate verification URLs for at least 12 months after discontinuation.

11. TERMINATION

By you

You may terminate your account at any time by contacting sales@scholarcert.com or using in-app account-closure tools where available.

By us

We may suspend or terminate your account, with or without notice, if you breach these Terms, fail to pay amounts owed, or use the Services in a way that creates risk for us, other users, or third parties.

For non-breach terminations initiated by us, we will provide at least 30 days' notice.

Effect of termination

On termination:

  • Your right to access the dashboard ends
  • You will lose access to your unused credits, except where termination is due to our material breach
  • Issued certificates remain valid and their verification URLs remain accessible (see Section 5)
  • Sections that by their nature should survive termination (including IP, indemnification, limitation of liability, governing law) remain in effect

12. DISCLAIMERS

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

  • The Services will be uninterrupted, error-free, or secure
  • Defects will be corrected
  • The Services or the servers that host them are free of viruses or harmful components
  • Any AI-generated output is accurate, complete, or appropriate for your purposes
  • Certificates issued through the Services will be accepted by any third party as proof of any qualification

You assume all risk associated with the use of the Services and the issuance of certificates.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or related to these Terms or the Services, regardless of the cause of action or theory of liability, will not exceed the greater of:

  • €500, or
  • The total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits our liability for fraud, willful misconduct, or any other liability that cannot be excluded by law.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Mokslinės leidybos deimantas, MB and our directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your User Content
  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right
  • Any certificate you issue through the Services that is challenged as inaccurate, fraudulent, or misleading

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting available defenses.

15. GOVERNING LAW AND DISPUTE RESOLUTION

Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal negotiation

Before filing any claim against us, you agree to first attempt to resolve the dispute informally by contacting sales@scholarcert.com. We will attempt to resolve the dispute through good-faith negotiation for at least 30 days before either party may initiate formal proceedings.

Courts

If informal negotiation does not resolve the dispute, the courts of Vilnius, Lithuania have exclusive jurisdiction. Both parties consent to the personal jurisdiction of these courts and waive any objection based on inconvenient forum.

Class action waiver

To the extent permitted by applicable law, you and we agree that any dispute will be resolved on an individual basis and not as part of a class, consolidated, or representative action.

Time limit

Any claim arising out of or related to the Services or these Terms must be filed within one year after the claim arose, or it is permanently barred.

16. MISCELLANEOUS

Entire agreement

These Terms, together with our Privacy Policy and any other policies referenced in them, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right.

Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, sale of assets, or by operation of law.

Force majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, pandemic, internet outages, or government action.

No partnership

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us.

Electronic communications

By using the Services, you consent to receive communications from us electronically (by email or through the dashboard). Electronic communications satisfy any legal requirement that communications be in writing.

Language

These Terms are written in English. Translations may be provided for convenience but in case of any conflict, the English version prevails.
